1. Acceptance of Terms

By downloading, installing, or using the Invoice Maker application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you and CloudHonest ("we," "our," or "us").

2. Description of Service

Invoice Maker is a business productivity application that provides:

• Invoice and estimate creation and management
• PDF export and sharing
• Client management
• Payment tracking
• Automatic EU VAT and reverse charge calculation
• iCloud sync across Apple devices
• Professional invoice templates

The App is designed as a business tool for freelancers, contractors, and small businesses.

3. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on your personal Apple devices
• Use the App for your personal or business invoicing purposes

This license does not include the right to:

• Modify, reverse engineer, or decompile the App
• Copy or distribute the App or its code
• Resell or sublicense the App to others
• Remove any proprietary notices from the App

4. Your Data and Content

All invoices, client data, and business information you create or enter in the App belong to you. We do not claim any ownership over your business data. See our Privacy Policy for full details on how your data is stored and protected.

You are solely responsible for:

• The accuracy of invoice information you create
• Compliance with tax laws and invoicing requirements in your jurisdiction
• Maintaining backups of your data as needed

5. Subscriptions and Purchases

5.1 Free Features

Basic features of Invoice Maker are available for free, including creating and sending invoices within free plan limits.

5.2 Pro Subscription

Invoice Maker Pro offers additional features through the following subscription options:

• Weekly: $2.99 USD per week, auto-renews
• Monthly: $7.99 USD per month, auto-renews
• Annual: $49.99 USD per year, auto-renews

Prices may vary by country based on local currency and tax regulations.

5.3 Payment and Renewal

• All purchases are processed through Apple's App Store
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your Apple ID account settings
• Subscription fees are non-refundable except as required by applicable law or as determined by Apple

5.4 Refunds

All purchases are handled by Apple. Refund requests must be submitted to Apple through their standard refund process. We do not have the ability to process refunds directly.

6. Tax and Invoicing Accuracy

You are solely responsible for:

• Verifying that your invoices comply with local tax laws and regulations
• Consulting a qualified accountant or tax advisor for your specific situation
• Ensuring VAT rates and reverse charge rules are correct for your business
• Maintaining proper accounting records as required by your jurisdiction

We are not responsible for any tax penalties, audit issues, or financial losses resulting from use of the App.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF TAX INFORMATION

We do not warrant that:

• The App will be error-free or uninterrupted
• Tax rates and invoice formats are current for all jurisdictions
• iCloud sync will always be available or error-free
• Any defects will be corrected within a specific timeframe

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDHONEST SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, invoices, or business opportunities
• Tax penalties or regulatory fines arising from invoice errors
• Any damages arising from your use or inability to use the App
• Loss of data due to device failure or iCloud issues

Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless CloudHonest, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Invoices you create using the App
• Your violation of any applicable tax or business laws

10. Intellectual Property

The App and its content, including but not limited to text, graphics, logos, icons, templates, and software, are owned by CloudHonest and protected by copyright and other intellectual property laws.

Invoice data and content you create remains your intellectual property.

11. Updates and Modifications

We may:

• Update the App to add features, fix bugs, or improve performance
• Modify these Terms at any time
• Change pricing for Pro subscriptions (price changes apply to new subscriptions only)
• Discontinue features with reasonable notice

Continued use of the App after changes constitutes acceptance of the modified Terms.

12. Termination

We may terminate or suspend your access to the App at any time, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or us
• Violates any applicable law

Upon termination, your license to use the App is revoked. Your locally stored data remains on your device.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through informal negotiation by contacting us at support@cloudhonest.com. If resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CloudHonest regarding the App.
